I/We hereby authorize Gravitas Stockbrokers Limited to honor all instructions including but not limited to purchases/sales mandates, e-dividends/e-bonuses mandates, etc. emanating from me in writing or through e-mail address as given in this form.
I/We hereby confirm that I/we shall be solely responsible for all orders / transactions done in my/our name and on my/our account. Consequently, Gravitas Stockbrokers Limited and its officers, Directors and/or Employees shall have no liability, financial or otherwise, and/or suffer any damages arising from my decision/instruction on this account.

I/We agree to be bound by the terms and conditions governing the operation of this account.
That Gravitas Stockbrokers Limited is hereby requested and authorized to act on my/our instructions with regard to any transactions on the stockbroking account.
That all transactions between Gravitas Stockbrokers Limited and I/us shall be subject to the articles, rules and regulations of the Nigerian Stock Exchange (NSE), the Securities & Exchange Commission (SEC), the Investments and Securities Act (ISA) of 1999, and all further regulations/directives passed and as amended from time to time to regulate trades between the parties and to regulate broker/dealer activities.
I/We indemnify Gravitas Stockbrokers against any loss, omission or damage that may incur when Gravitas Stockbrokers executes any mandate, instructions, or other communications furnished by me/us via any electronic media or means (receipt of electronic mandate). This indemnity subsists whether such electronic mandates are transmitted directly to a computer owned by me/us or otherwise, at any time, and in relation to any business or transactions, which I/we may have with Gravitas Stockbrokers, or in which Gravitas Stockbrokers may be acting on my/our behalf or in accordance with my/our instructions.

That my/our mandates shall be sent through written instruction(s) to Gravitas Stockbrokers Limited, and/or via a secured e- mail to customercare@gravitasng.com
That my/our mandates will only be executed if delivered to Gravitas Stockbrokers Limited through any of the aforementioned channels by/or before 8:00am on the intended business day of execution.
That in the event that I/we submit mandates/amendments/cancellations after the deadline stated above, they may not be executed until the next business day.
That my/our buy and sell mandates will only be executed based on the prevailing market prices of stocks on the Nigerian Stock Exchange at the time of execution and not a price range.
That my/our purchase mandates shall not be executed if sufficient funds are not available in my/our stockbroking account to meet the value of such transaction(s).

Mandates placed through the online portal are executed directly on the Nigerian Stock Exchange without any physical interference.
That in the event that purchase mandate was erroneously executed in excess of my/our account balance, Gravitas Stockbrokers Limited has a duty to notify me/us with a view of regularizing my/our account without any loss to me/us.
Cancellation of mandates can be done on the online portal after trading hours while I/we can forward their cancellation orders to the above-mentioned email address and mandate line during trading hours. Cancellation of mandates will depend on the status of the mandate i.e cancellation can only be done if the order has not been executed on the exchange within 10 working days of receipt of the mandate.
Withdrawal requests can be made via a mail to customercare@gravitasng.com Funds shall only be transferred to account details provided at account opening and in line with my/our account opening documentations.

That funds deposited in my/our stockbroking account with Gravitas Stockbrokers Limited, including retained sales proceeds, are not interest bearing. The fund will remain in my/our stockbroking account until I/we give an express instruction/mandate authorizing its utilization.
Access to and use of this website and portal is at my/our own risk. Gravitas Stockbrokers does not represent or warrant that the use of this site or any material downloaded from it will not cause damage to property, including but not limited to loss of data or computer virus infection.
Gravitas Stockbrokers shall not be responsible for any loss, omission or damage that may arise due to IT or network The responsibility for the security of my/our password shall solely be mine/ours at all times.
Gravitas Stockbrokers would not be responsible for theft or divulgence of password leading to any liability on the my/our account.
Gravitas Stockbrokers will make all reasonable attempts to ensure that the online portal system is fully operational at all times. However, Gravitas Stockbrokers makes no guarantees that its fully automated systems will correctly carry out all the functions they were set up to carryout.
Gravitas Stockbrokers will use every reasonable endeavor to ensure the integrity and security of the server. However, Gravitas Stockbrokers does not guarantee that the server will be free from unauthorized users or hackers. Gravitas Stockbrokers shall not be liable for non-receipt or mis-routing of email or for any other failure of client(s) email.

Indemnity

IN CONSIDERATION of GRAVITAS STOCKBROKERS LIMITED, ITS RELATED COMPANIES OR AGENTS (hereinafter referred to as “GRAVITAS STOCKBROKERS”) agreeing to accept and act upon any such instructions, communications and documents by electronic mail (email), telephone, mobile text messages (SMS), letters, or any other internet device(s) and social media platform (e.g., Twitter, Facebook, LinkedIn, WhatsApp, Instagram etc);

hereby irrevocably undertake to indemnify GRAVITAS STOCKBROKERS and hold it harmless from and against all costs (including without limitation legal fees and expenses, claims, losses, liabilities, damages and proceedings) whatsoever GRAVITAS STOCKBROKERS may suffer or incur or that may arise as a result of GRAVITAS STOCKBROKERS’s accepting or acting upon such electronic instructions, communication and documents;

I/We also irrevocably and unconditionally undertake to indemnify and keep indemnified GRAVITAS STOCKBROKERS against any claims, losses, liabilities, damages, proceedings, legal fees and expenses, costs, or charges it may incur as a result of honoring electronic payment instructions in favor of any beneficiary particularly third-party beneficiaries.

I/We hereby formally, unreservedly, irrevocably and unconditionally declares and covenants as follows:

That GRAVITAS STOCKBROKERS is hereby authorized, in its sole discretion, to consider and/or act upon communications instruction(s) as stated above without the necessity of any original signature(s) or conformity of the instruction with any other mandate or the requirement of any other confirmation on the part of GRAVITAS STOCKBROKERS.
The I/We are fully aware that electronic communication instructions are unsecure means of communication and are therefore prone to the risk of omissions, errors, misstatements, non-receipts, fraud and/or other unauthorized interventions by third parties, all such risk which I/We hereby fully assume.
GRAVITAS STOCKBROKERS may, but is not obliged to seek telephone confirmation or other form(s) of alternate confirmation different from that used by me/us; and shall exercise its discretion to proceed or refrain from acting upon such instruction in the event that GRAVITAS STOCKBROKERS is unable to obtain satisfactory confirmation thereof, or has any reason to doubt the authenticity of the instruction or the confirmation received in respect thereof.
GRAVITAS STOCKBROKERS has no obligation whatsoever to confirm or verify the identity of the person(s) sending any electronic instruction or the genuineness of any electronic instruction. Any transaction processed pursuant to receiving such electronic instruction and payment instructions to any beneficiary particularly third-party beneficiaries shall be binding on the Customer for all intents and purposes and whether made with or without my/our authority, knowledge or consent.
I/We shall ensure the security of my/our email address(es) and electronic devices; and shall inform GRAVITAS STOCKBROKERS forthwith upon the happening of any circumstance(s) likely to render the continued adherence to such electronic instructions unsafe.
GRAVITAS STOCKBROKERS shall endeavor to refrain from processing an electronic instruction upon receiving a notification pursuant to Clause 5 above. This shall however be without prejudice to my/our covenants and obligations herein in respect of any transaction processed whether prior or subsequent to the notification.
GRAVITAS STOCKBROKERS shall retain the sole discretion to process an electronic instruction, or any part thereof; and shall not be under any obligation to provide reasons for failing so to do.
I/We hereby waive all right of action or defenses I/We may have against GRAVITAS STOCKBROKERS in connection with all matters contemplated herein, and shall further hold GRAVITAS STOCKBROKERS free and harmless from any responsibility, liability or adverse consequence (whether direct or indirect) in connection with receiving, considering and/or processing my/our electronic instruction(s). I/We shall further indemnify and keep GRAVITAS STOCKBROKERS fully indemnified against all litigations, actions, claims, loss, damage, costs and/or expenses which may be brought against GRAVITAS STOCKBROKERS or suffered or incurred by GRAVITAS STOCKBROKERS and which may have arisen either directly or indirectly out of or in connection with GRAVITAS STOCKBROKERS receiving, consideration and/or processing my/our electronic instruction(s) as well as payment instructions to any beneficiary particularly third party beneficiaries.
This Indemnity shall be a continuing obligation in respect of any and all matters connected to or arising from GRAVITAS STOCKBROKERS’s receipt, consideration or processing of my/our electronic instructions and payment instructions to any beneficiary particularly third-party beneficiaries.

For the convenience of the Parties, this agreement may be executed electronically and in counterparts. The electronic execution shall be binding, and each counterpart shall be binding, and all of them shall constitute one and the same instrument.

This document shall be governed by the Laws of the Federal Republic of Nigeria and I/We hereby execute same as a Deed and cause it to be delivered and take effect from the date stated below.
